PAIRS Licensing Agreement Overview

Only licensed PAIRS Providers may conduct programs represented by the PAIRS trademarks and intellectual properties. In order to teach PAIRS programs, you must be licensed by Purpose Built Families Foundation, the conditions of which are as follows:

This is an agreement between Purpose Built Families Foundation, Inc. (“Purpose Built Families,” “PBFF,” and the “Foundation”) and you, a PAIRS Provider. Incorporated into this Licensing Agreement are the principles and requirements articulated in the PAIRS Ethical Standards Agreement. Your application for accreditation represents your agreement to uphold these requirements, including the obligation to reach out to the Foundation for clarity on any questions.

SECTION I: NON-TRANSFERRABLE RIGHTS

1.    You will use, promote, and market PAIRS programs under the name PAIRS. You will not use the word PAIRS or words that are reasonably likely to be confused with PAIRS as the name of your organization, website, Center, Institute, practice or for any other purpose without advance written permission from the Foundation.
2.    You agree not to use any of the trademarks as part of any promotional materials (e.g., pens, hats, etc.) or for the purpose of advertising your business without prior written permission from the Foundation and to limit your use of the trademarks for purposes specifically allowed by this licensing agreement. 
3.    All booklets, brochures, videos, presentations and other materials, print and/or electronic, produced by you or on your behalf for teaching or promoting PAIRS shall include the statement: “PAIRS is a registered trademark. Used with permission. All rights reserved. For more information, visit www.pairs.com.”  Copies of said materials are to be forwarded to the Foundation for review and approval prior to print or electronic public distribution.
4.    You have no right, title or interest in any of the trademarks, copyrighted materials, curricula or materials provided to you as a Licensee, whether such materials are used in their original form, excerpted, translated or derived from PAIRS except in connection with activities authorized and described in this Agreement.
5.    PAIRS Participant Handbooks, Curriculum Guides, Power Points, Posters, Wallet Cards and other course related materials are provided solely in conjunction with PAIRS programs and can only be obtained directly from the Foundation. These materials are copyrighted and cannot be reproduced in any form, stored electronically or translated without advance written permission from the Foundation. By entering into this license agreement, you explicitly agree to respect and protect the manner in which copyrighted materials, sequencing, and other proprietary information is shared with the public.
6.    PAIRS programs that you teach will closely follow the relevant curriculum as developed and approved by PAIRS, and distributed by the Foundation. You will not add content or materials to any PAIRS Program other than brief, contextual insertions, such as brief opening or closing remarks, introductions, appropriate humor, and personal examples of PAIRS skills used by the Provider. Use of content that deviates from the approved PAIRS curriculum must be approved in advance by the Foundation or offered separate in both time and space from the PAIRS Program.
7.    You must use the PAIRS materials, as designated by the Foundation, one set per participant, when you teach PAIRS programs (unless otherwise authorized in advance by the Foundation in writing). The PAIRS materials are copyrighted and may not be reproduced, stored electronically, translated, excerpted or abbreviated without prior written authorization from the Foundation. If partial sections of PAIRS programs are offered in limited workshops (where a standard PAIRS workshop format and handbook is not used), there will be a Participant’s Fee per person per event, in the amount of 15% of the tuition charged, but not less than $25 per person. This fee is due whether tuition is paid individually by each participant, through a wage, salary or other compensation to the instructor, through grant funds, or through any other value received. Before offering an abbreviated course, it is necessary that you forward a copy of the revised course description and content to the Foundation and receive advance written authorization to conduct the program from the Foundation. 
8.    You must pay a fee for each person who participates in a PAIRS Program. For this participant’s fee, you will receive:
a.    Registration of your program with the Foundation and listing of your program on PAIRS.com;
b.    One set of participant materials, administrative processing of participant agreements, class assessments, end of class self-evaluations, and instructor assessments.
9.    The Foundation shall, at all times, have the right to control and direct the manner in which PAIRS’ trademarks and copyrighted materials are used. Personnel designated by the Foundation may make a review of your use of PAIRS teaching methods and content periodically.  This review may consist of any of the following:
a.    On-site observation of classes;
b.    Review of audio- and/or video-taped classes;
c.    Review of participant and provider evaluations;
d.    Review of Knowledge Assessments.
10.    Upon review, if, in the Foundation’s sole discretion, indications are that delivery of these programs is lacking, additional training or mentoring may be required to maintain this license. If so, a reasonable charge may be made for supervisory time and additional training to provide these services. Unless requested to document lecture proficiency, or to meet criteria for advancement in accreditation, it is not necessary to audio or video-tape your class lectures.
11.    Class assessments and Provider self-evaluations are to be sent promptly to the Foundation at the end of a program. A designee of the Foundation will evaluate Post-Class Assessments for quality control.
12.    PAIRS is an educational program that teaches knowledge and skills for enhanced relationships.  You shall be clear with prospective class participants that PAIRS is not intended to be a substitute for psychotherapy, counseling or any other appropriate treatment. You shall be the judge of suitability of participants to enroll in PAIRS programs you teach.
13.    You will inform the Foundation about your activities pursuant to this Agreement and your use of the trademarks and copyrighted materials. Timely notification is required of your Intent to teach a class, program, or workshop by posting your class on the calendar at consumer.pairs.com or as otherwise directed by the Foundation. If your class cannot be posted, notification must be emailed to info@pairs.com. Class-end reports and materials are to be returned to the Foundation promptly. 
14.    A Year-End Report describing your use of PAIRS materials must accompany your Annual Licensing Renewal Form and payment that is due by September 30 of each year in which you wish to apply for licensing consideration.  
15.    For the life of this Agreement, the Foundation will maintain, protect and defend the PAIRS’ trademarks, copyrights and propriety processes. You will promptly notify the Foundation of any activities on the part of third parties of which you become aware that may constitute infringement or cancellation of the trademarks, copyrights or jeopardize the protection of proprietary information.
